Terms of Service
Please read these Terms carefully. They include disclaimers, a limitation of liability and the policies on risk, privacy and refunds that apply to every customer.
1. Who we are and what these Terms cover
Options Strategy Hub is a software service operated by SpyWave LLC ("we", "us"). Options Strategy Hub is a product of SpyWave LLC.
These Terms of Service ("Terms") govern your access to and use of the Options Strategy Hub website at https://optionsstrategyhub.com, the web application at https://app.optionsstrategyhub.com, and every feature, export and document we provide through them (together, the "Service"). The Privacy Policy, the Risk & Backtesting Disclosure and the Refund & Cancellation Policy are part of these Terms.
By creating an account, accepting these Terms in the application, or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed at children. If you use the Service on behalf of a company or another person, you represent that you are authorized to bind them to these Terms.
You may not use the Service where doing so would violate the laws that apply to you.
3. Your account
Sign-in is handled by our identity provider (Auth0). We never see or store your password. You are responsible for everything that happens under your account and for keeping your sign-in credentials, and any two-factor method you enable, secure. Tell us promptly at sean@spywaveai.com if you believe your account has been used without your permission.
You agree to give us accurate account information and to keep it current. One account is for one person; accounts may not be shared, and credentials may not be given to others.
We may suspend or close an account that is used in breach of these Terms, that presents a security or legal risk, or whose subscription remains unpaid. Where reasonable we will tell you why.
4. What the Service is
Options Strategy Hub is research and simulation software. It lets you define rules for buying single SPY options (calls or puts), run those rules against historical market data you obtain from Databento under your own Databento account, and study the simulated results. The Founding Beta covers SPY only.
The Service is not a broker, broker-dealer, investment adviser, financial adviser, commodity trading advisor, signal service, trade-execution platform, money manager, custodian or fiduciary. We do not hold your funds, we do not connect to a brokerage, we do not place or execute trades, and we do not recommend any security, strategy or transaction. Backtest results, AI-generated analysis and every other output of the Service are information for your own research and are not investment advice. Read the Risk & Backtesting Disclosure before relying on any result.
5. Subscriptions, billing and renewal
Access to backtesting, saving strategies and AI features requires a paid subscription (Basic or Pro) billed monthly or yearly. Prices are shown in the application and on https://optionsstrategyhub.com at the time of purchase. Payments are processed by Stripe; we do not receive or store your card number.
Subscriptions renew automatically at the end of each billing period at the then-current price for your plan until you cancel. You can cancel at any time from Account → Manage billing (the Stripe customer portal); cancellation stops the next renewal and your access continues until the end of the period you have paid for. Refunds are governed by the Refund & Cancellation Policy.
The Founder offer is the Pro plan sold with a one-time first-year discount to a limited number of customers. After the first year it renews at the regular Pro annual price unless cancelled. Founder seats are limited and are allocated by Stripe in the order checkouts complete.
You may upgrade or downgrade between plans and between monthly and yearly billing in the customer portal. Stripe prorates changes according to its standard rules shown at the time of the change.
Prices exclude taxes. Where sales tax, VAT or similar taxes apply to you, they are added at checkout or are your responsibility, as the law requires.
If a payment fails, access continues for a short grace period while Stripe retries; if payment is not collected, paid features stop until payment is made.
6. Market data from Databento is separate and is your own
The Service does not include market data. To run a backtest you connect your own Databento API key. Each run then purchases the SPY bars, option-chain sessions and, if chosen, 1-second quotes it needs through your Databento account, and Databento bills you for that data directly under your own agreement with Databento. These charges are separate from, and in addition to, your Options Strategy Hub subscription.
Before any data is purchased we ask Databento for a price, show you the estimate, and require you to approve a maximum amount. The application re-quotes each item immediately before purchase and stops, buying nothing further, if the total would exceed the maximum you approved. Databento's own metered billing is the authoritative record of what you were charged.
You are responsible for your Databento account, its terms, its pricing and any charges it incurs. Databento may change its prices, data availability or terms at any time, may reject a request, or may be unavailable; when that happens a run cannot proceed. We do not control Databento and have no commercial relationship with Databento other than as a customer-supplied data source; nothing in the Service implies Databento's endorsement, sponsorship or partnership.
Your Databento key is stored encrypted on our servers for your account only, is used solely to fetch data for your own runs, is never shown back to you in full, and can be removed at any time from the Data page. You may use only a key you are entitled to use.
7. Plan limits and fair use
Each plan includes monthly allowances (for example standard backtests, 1-second replay runs, AI refinement requests), a saved-strategy limit and a limit on jobs running at once. Larger runs count as more than one unit; the Account page shows how usage is measured. Allowances reset each calendar month and do not carry over.
We may adjust limits, weights or features of a plan with notice. Any attempt to bypass, reset or exceed limits other than by upgrading, or to use the Service in a way that degrades it for others, is a breach of these Terms.
8. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of any third party's rights, including Databento's terms for the data you fetch;
- probe, scan, access or attempt to access another customer's account, strategies, results, credentials or data, or any part of the Service you are not authorized to use;
- scrape, crawl, mirror or bulk-extract the Service or its content, or use automation to operate the Service beyond the interactive use it provides;
- share, resell, sublicense, rent or redistribute the Service, your access, or any market data obtained through it, except as your Databento agreement allows;
- reverse engineer, decompile or disassemble the Service, except to the extent that applicable law expressly permits this despite this restriction;
- circumvent authentication, rate limits, spend approvals, plan limits or security controls, or introduce malicious code;
- misrepresent your identity or affiliation, or use credentials that are not yours;
- use the Service to build a competing product using our proprietary rule language, evidence formats or documentation.
We may investigate suspected violations and may suspend or terminate access, with or without notice, where we reasonably believe these Terms are being breached or the Service or others are at risk.
9. Your content
You own the strategy definitions you create, the backtest results produced from them and the exports you download ("Customer Content"). You grant us a limited, non-exclusive, worldwide licence to store, process, display and transmit Customer Content only as necessary to provide, secure, support and improve the Service for you, including sending the run's computed evidence to an AI provider when you use an AI feature. This licence ends when the content is deleted from the Service, subject to backups and the retention described in the Privacy Policy.
Customer Content is private to your account. We do not sell it, publish it, or use one customer's strategies or results to answer another customer's questions.
Historical market data fetched for a run is held only for that run and is deleted when the run ends; it is not Customer Content and it is not returned to you in raw form.
10. Our intellectual property
The Service, including its software, backtesting engine, strategy language, indicator catalog, evidence and export formats, user interface, documentation, trademarks and the name Options Strategy Hub, is owned by SpyWave LLC or its licensors and is protected by intellectual-property laws. These Terms give you a limited, revocable, non-transferable right to use the Service for your own research during your subscription. All other rights are reserved. Third-party names (for example Databento, Stripe, Auth0 and Anthropic) belong to their owners and are used only to describe how the Service works.
11. Third-party services we depend on
The Service depends on providers we do not control: Databento (market data, under your own account), Auth0 (sign-in), Stripe (payments), an AI provider (Anthropic, when the AI features are enabled), and our hosting provider. Their availability, pricing, terms and changes can affect the Service, and their own terms apply to your relationship with them. Public sources used for the Federal Reserve event dataset may be incomplete or corrected after the fact.
12. AI features
The AI features (AI Strategy Analysis, strategy creation from a description and refinement proposals) send the computed evidence of your run, your question and, for refinement, your strategy definition to the configured AI provider and show you its reply. The application checks the reply's citations against your run and labels each statement, but it cannot make the reply correct.
AI output can be wrong, incomplete, out of date or misleading; it can misread data, invent figures, and propose changes that make a strategy worse. It is not investment advice, it does not guarantee improved performance and it must not be relied on to make trading decisions or to execute trades. Nothing the AI proposes is applied to a strategy until you choose it, and then only as a new version you can test yourself.
When no AI provider is configured, the application shows you a prompt to carry to an assistant of your choice; that assistant's terms and privacy practices apply to anything you paste into it.
13. Availability, changes and support
We aim to keep the Service available but do not promise uninterrupted or error-free operation, and we offer no service-level agreement. The Service is in a Founding Beta: features may be added, changed, limited or removed, data providers may be unavailable, and runs may fail or be interrupted. Where a change materially reduces what your paid plan includes, we will tell you in advance where reasonably possible.
Support is provided by email at sean@spywaveai.com on a reasonable-efforts basis.
14. Suspension and termination
You may stop using the Service at any time and may delete your account from Account → Privacy & Data. We may suspend or terminate your access as described in sections 3 and 8, or on notice if we discontinue the Service.
On termination or deletion your right to use the Service ends, your subscription is cancelled, and your Customer Content is deleted as described in the Privacy Policy. Records that we are required to keep, including payment records held by Stripe, our security audit log and operational logs for their retention period, are retained as the Privacy Policy explains. Sections that by their nature should survive (including 9–10 and 15–20) survive termination.
15. Disclaimers
THE SERVICE, ALL BACKTEST RESULTS, MARKET AND EVENT DATA, AI OUTPUT, EXPORTS AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY STRATEGY WILL BE PROFITABLE, THAT A BACKTEST REFLECTS OR PREDICTS LIVE TRADING, THAT DATA IS ACCURATE OR COMPLETE, OR THAT RESULTS ARE FREE OF ERRORS. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISION YOU MAKE BASED ON THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPYWAVE LLC, ITS OWNERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, LOST OPPORTUNITY OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE SUBSCRIPTION FEES YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIRD-PARTY CHARGES, INCLUDING DATABENTO DATA CHARGES, ARE NEVER RECOVERABLE FROM US. THESE LIMITATIONS APPLY TO THE EXTENT THE LAW ALLOWS AND DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
17. Indemnification
You will defend, indemnify and hold harmless SpyWave LLC and its owners, employees and contractors from claims, damages, liabilities and reasonable costs (including legal fees) arising from your Customer Content, your use of the Service in breach of these Terms or applicable law, your Databento account or data use, or any trading or investment decision you make.
18. General terms
- Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including outages of data providers, payment or identity providers, hosting, networks, or acts of government.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets, with notice to you.
- Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary and the rest remains in force.
- Waiver. A failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms, with the policies they incorporate, are the entire agreement between you and us about the Service and replace any prior understanding.
- Export and sanctions. You may not use the Service in violation of export control or sanctions laws.
19. Governing law and disputes
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state and federal courts located in Michigan, and you consent to the jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property, or limits consumer rights that cannot be waived under the law of your residence.
20. Changes to these Terms and notices
We may update these Terms. The version date at the top of this page changes when we do. For material changes we will ask you to accept the new Terms in the application before you continue using it, and we may also notify the email address on your account. Continued use after a change takes effect is acceptance of the change.
